Terms of service, for operators

1. What ShareFund is

ShareFund is a software platform that lets operators run a whitelabel investment offering under their own brand. We are a software vendor. We are not a party to the offering an operator runs, not a counterparty to any investor, not a custodian of operator assets beyond the technical custody integration described in the engagement contract.

2. Operator responsibilities

By using ShareFund as an operator you agree that you are solely responsible for:

  • The legal, regulatory, licensing, and tax posture of your offering in every jurisdiction you serve.
  • Honest, accurate, and timely entry of settlement data into the platform.
  • The conduct of your ops team and admins.
  • Your communications with investors, your marketing claims, and your disclosures.
  • Resolving any dispute between you and your investors.

3. Platform commitments

ShareFund will:

  • Provide the platform as described in the engagement contract.
  • Maintain the append-only ledger, the daily invariants, the audit log, and the custody integration.
  • Apply reasonable uptime and security practices.
  • Make a full data export available to the operator on request.

4. Acceptable use

Operators agree not to:

  • Promise guaranteed returns to investors. Yield is always presented as a range, never a guarantee.
  • Credit investor profit without a real settlement source row.
  • Bypass, disable, or attempt to bypass the daily invariants or the audit log.
  • Use ShareFund to launder funds, evade sanctions, or facilitate fraud.
  • Reverse engineer, scrape, or attack the platform.

5. Fees

Fees are scoped per operator and recorded in the engagement contract. Standard components are setup fee, platform fee, and revenue share, in the mix agreed at signing.

6. Data ownership

The operator owns its tenant data, including member directory, ledger, and settlement records. ShareFund holds it in the platform under the terms of the engagement contract and exports it on request in standard formats. Operator instructs ShareFund on retention and deletion within applicable financial recordkeeping limits.

7. Suspension and termination

ShareFund may suspend or terminate an operator tenant for material breach of these terms, particularly any breach of section 4. On termination, a full data export is delivered and the custody handover is executed per the engagement contract.

8. Disclaimers and liability

ShareFund is provided "as is" without warranty of any kind. To the maximum extent permitted by law, our liability to any operator for any claim is limited to the total platform fees paid to ShareFund in the prior 12 months.

9. Changes to these terms

We may update these Terms. Material changes will be sent to the operator contact at least 30 days before they take effect.
